Terms & Conditions

TotalSheet – A Product of Utna Systems Pvt. Ltd

Please read these Terms & Conditions (“Terms”) carefully before accessing or using TotalSheet. By registering for or using TotalSheet, you agree to be legally bound by these Terms. If you do not agree, please do not use the platform.

  • By accessing or using TotalSheet, you confirm that you are at least 18 years of age, have the legal capacity to enter into a binding agreement, and agree to comply with these Terms and all applicable laws. If you are using TotalSheet on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

  • TotalSheet is a Construction Operations Platform (COP) providing tools for:

    • Bill of Quantities (BOQ) preparation and management

    • Project cost estimation and analysis

    • Construction workflow tracking and scheduling

    • Data reporting and project documentation

    Features and functionality may be updated, modified, or discontinued at our discretion with reasonable notice.

  • You must register for an account to access the platform. You agree to:

    • Provide accurate, current, and complete information during registration

    • Keep your account information updated at all times

    • Maintain the confidentiality of your password and account credentials

    • Accept responsibility for all activities conducted under your account

    TotalSheet reserves the right to suspend or terminate accounts where false or misleading information is detected.

  • Access to certain features of TotalSheet requires a paid subscription. The following terms apply:

    • Subscription fees are due in advance for the selected billing period

    • Payments are non-transferable and tied to the registered account

    • All prices are in Indian Rupees (INR) inclusive of applicable taxes unless stated otherwise

    • TotalSheet may revise pricing with at least 15 days' prior written notice to existing subscribers

    • Continued use of the platform after a price change constitutes acceptance of the new pricing

  • You retain full ownership of all project data, documents, and content you upload or create within TotalSheet. By using the platform, you grant TotalSheet a limited, non-exclusive, royalty-free licence to store, process, and display your data solely to provide the services to you. TotalSheet may use anonymized and aggregated (non-identifiable) data derived from platform usage for analytics, product improvement, and research purposes. This aggregated data will never identify you or your business.

  • You must not use TotalSheet for any of the following:

    • Uploading, sharing, or transmitting harmful, unlawful, defamatory, or infringing content

    • Attempting to gain unauthorized access to any part of the platform or other users' accounts

    • Reverse engineering, decompiling, or attempting to extract the source code of the platform

    • Reselling or sublicensing access to the platform without prior written consent from Utna Systems

    • Any activity that violates applicable Indian or international law

    Violation of these prohibitions may result in immediate account suspension and, where applicable, legal action.

  • All intellectual property rights in the TotalSheet platform – including its software, design, trademarks, and content (excluding user-uploaded data) – are owned by or licensed to Utna Systems Pvt. Ltd. You are granted a limited, non-exclusive, non-transferable licence to use the platform for your internal business purposes only. Nothing in these Terms transfers ownership of any intellectual property to you.

  • We strive to maintain continuous and uninterrupted access to TotalSheet. However, we do not guarantee that the platform will be available at all times. The platform may be temporarily unavailable due to scheduled maintenance, unplanned technical issues, or events beyond our reasonable control. TotalSheet will not be liable for any losses arising from temporary unavailability.

  • You may close your account at any time by contacting us. Pre-paid subscription fees will not be refunded except as provided in the Refund Policy. TotalSheet reserves the right to suspend or permanently terminate your account without notice if you violate these Terms or engage in fraudulent activity. Upon termination, you may request a copy of your project data within 30 days, after which data may be permanently deleted.

  • To the maximum extent permitted by applicable law, TotalSheet shall not be liable for:

    • Loss or corruption of data resulting from user actions, misuse, or unauthorized access

    • Loss of revenue, profit, contracts, or business opportunities arising from platform downtime

    • Any indirect, incidental, special, consequential, or punitive damages

    In any case, Utna Systems Pvt. Ltd.'s total liability for any claim shall not exceed the total subscription fees paid by you in the three (3) months preceding the claim.

  • TotalSheet is provided on an "as is" and "as available" basis. We make no warranty, express or implied, that the platform will be error-free or uninterrupted. Estimates and outputs generated by TotalSheet are tools to assist decision-making and should not be relied upon as definitive professional advice.

  • In the event of any dispute arising out of or in connection with these Terms, the parties agree to first attempt resolution through good-faith negotiation. If unresolved within 30 days, the dispute shall be referred to binding arbitration under the Arbitration and Conciliation Act, 1996 (India). The seat of arbitration shall be Mangalore, Karnataka, India.

  • These Terms are governed by and construed in accordance with the laws of India. Subject to the dispute resolution clause above, you agree to submit to the exclusive jurisdiction of the courts located in Mangalore, Karnataka, India.

  • We may revise these Terms periodically. We will notify you of material changes by email or through an in-platform notification at least 15 days before changes take effect. Continued use of the platform after the effective date constitutes acceptance of the revised Terms.
